To the fullest extent permitted by Hong Kong law, Cinnabar's total liability to you — whether in contract, tort, or otherwise — shall not exceed the fees paid by you for the specific service giving rise to the claim. We shall not be liable for any indirect, consequential, or incidental loss, including loss of profit, data, or business opportunity, even if advised of the possibility of such loss.
Both parties agree to keep confidential any non-public information disclosed in the course of an engagement. This obligation survives termination of the engagement for a period of three years. Each party may disclose confidential information where required by law or regulatory requirement, provided reasonable prior notice is given where permitted.
You agree to indemnify and hold Cinnabar harmless against any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these terms, your misuse of our services, or any third-party claim resulting from data or content you provided to us in connection with a service engagement.
Either party may terminate an engagement by giving written notice as specified in the relevant engagement letter. Upon termination: any work completed to the point of termination will be invoiced and payable; deliverables may be retained by Cinnabar until outstanding fees are settled; each party will return or securely destroy the other's confidential information. These terms survive termination to the extent necessary to protect accrued rights.
These terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising from or connected with these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong. Where both parties agree, disputes may be referred to mediation before litigation, with costs shared equally unless otherwise directed by a mediator or court.
Entire Agreement: These terms, together with any applicable engagement letter, constitute the entire agreement between the parties.
Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
Waiver: Failure to enforce any provision does not constitute a waiver of the right to do so in the future.
Assignment: You may not assign your rights under these terms without our written consent. We may assign our obligations where the quality of service is not diminished.
We may update these terms from time to time. Material changes will be indicated by updating the "Last Updated" date. Continued use of the website or our services following any update constitutes acceptance of the revised terms. We recommend reviewing this page periodically.
